1. Acceptance of Terms
By accessing or using the website https://www.propulsetechnologies.in (the “Site”) and any related services, products, or platforms (collectively, the “Services”) provided by Propulse Technologies Pvt. Ltd. (“Propulse,” “we,” “us,” or “our”), you (“you” or “User”) acknowledge that you have read, understood, and agree to be bound by these Terms of Use (the “Terms”). If you are entering into these Terms on behalf of a company or other legal entity, you represent that you have the authority to bind such entity to these Terms.
If you do not agree to all of these Terms, do not access or use the Site or Services.
2. Definitions
- “Content” means all information, text, graphics, logos, images, audio, video, software, and other materials made available through the Services.
- “User Data” means any data, information, or materials that you submit, upload, or transmit in connection with the Services.
- “Service Agreement” means any separate written agreement, Statement of Work (SOW), or Master Service Agreement (MSA) entered into between you and Propulse governing specific services.
3. Eligibility and Account Registration
You must be at least 18 years of age (or the applicable age of majority in your jurisdiction) to use the Services. If you are under the legal age, you may only use the Services with the involvement and consent of a parent or legal guardian.
Some areas of the Site or Services may require you to create an account. You agree to provide accurate, current, and complete information during the registration process and to update such information to keep it accurate, current, and complete. You are responsible for safeguarding your account credentials and for all activities that occur under your account.
4. License Grant and Restrictions
Subject to your compliance with these Terms, Propulse grants you a limited, non-exclusive, non-transferable, revocable license to access and use the Site and its Content solely for your internal business purposes or for evaluating our Services. This license does not include any right to:
- Modify, copy, distribute, or create derivative works based on the Content;
- Use the Content for any commercial purpose or public display (commercial or non-commercial);
- Attempt to decompile, reverse engineer, or disassemble any software contained on the Site;
- Remove any copyright, trademark, or other proprietary notices from the Content;
- Use any data mining, robots, or similar data gathering or extraction methods.
Any unauthorized use automatically terminates the permission or license granted by Propulse.
5. Intellectual Property Rights
The Site, Services, and all Content (excluding User Data) are the exclusive property of Propulse and its licensors and are protected by copyright, trademark, patent, trade secret, and other intellectual property laws. The Propulse name, logo, and all related product and service names, design marks, and slogans are trademarks of Propulse or its affiliates. You may not use such marks without the prior written permission of Propulse.
You retain all ownership rights in your User Data. By submitting User Data, you grant Propulse a worldwide, royalty-free, non-exclusive license to use, reproduce, modify, adapt, and display such User Data solely as necessary to provide the Services to you and as otherwise permitted by our Privacy Statement.
6. Service Description and Modifications
Propulse provides enterprise technology solutions including, but not limited to, cloud migration, AI/automation, cybersecurity, ERP implementation, and digital transformation consulting. Detailed service descriptions are set forth in separate Service Agreements, SOWs, or proposals. In the event of any conflict between these Terms and a fully executed Service Agreement, the Service Agreement shall control.
We reserve the right to modify, suspend, or discontinue any aspect of the Site or Services at any time, with or without notice. We shall not be liable to you or any third party for any such modification, suspension, or discontinuation.
7. Fees and Payment
Certain Services may be subject to fees as described in the applicable Service Agreement, SOW, or invoice. You agree to pay all fees in the currency and within the timeframes specified. Unless otherwise stated, all fees are exclusive of applicable taxes. You are responsible for the payment of all taxes associated with your use of the Services.
8. Confidentiality
“Confidential Information” means any proprietary information disclosed by one party (“Disclosing Party”) to the other (“Receiving Party”), whether in written, oral, or electronic form, that is designated as confidential or that reasonably should be understood to be confidential given the nature of the information and circumstances of disclosure.
The Receiving Party shall use the same degree of care to protect Confidential Information as it uses to protect its own confidential information of like nature (but in no event less than reasonable care). Confidential Information does not include information that (i) is or becomes publicly available through no breach of these Terms, (ii) was independently developed by the Receiving Party, (iii) is received from a third party without restriction, or (iv) was known to the Receiving Party prior to disclosure.
This obligation of confidentiality shall survive termination of these Terms for a period of three (3) years, or indefinitely for trade secrets.
9. Data Privacy
The collection, use, and protection of personal information are governed by our Privacy Statement and, where applicable, our Cookie Policy. By using the Services, you consent to the collection and use of your personal data as described in those policies.
10. Warranties and Disclaimers
THE SITE AND SERVICES ARE PROVIDED ON AN “AS IS” AND “AS AVAILABLE” BASIS. TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, PROPULSE EXPRESSLY DISCLAIMS ALL WARRANTIES OF ANY KIND, WHETHER EXPRESS OR IMPLIED, INCLUDING, BUT NOT LIMITED TO, IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT.
Propulse does not warrant that (i) the Services will meet your specific requirements, (ii) the Services will be uninterrupted, timely, secure, or error-free, (iii) the results obtained from the use of the Services will be accurate or reliable, or (iv) any errors in the Services will be corrected.
11. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, IN NO EVENT SHALL PROPULSE, ITS DIRECTORS, EMPLOYEES, PARTNERS, AGENTS, SUPPLIERS, OR AFFILIATES BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING WITHOUT LIMITATION, LOSS OF PROFITS, DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES, RESULTING FROM (i) YOUR USE OR INABILITY TO USE THE SERVICES; (ii) ANY CONDUCT OR CONTENT OF ANY THIRD PARTY ON THE SERVICES; (iii) ANY CONTENT OBTAINED FROM THE SERVICES; AND (iv) UNAUTHORIZED ACCESS, USE OR ALTERATION OF YOUR TRANSMISSIONS OR CONTENT, WHETHER BASED ON WARRANTY, CONTRACT, TORT (INCLUDING NEGLIGENCE), OR ANY OTHER LEGAL THEORY.
IN NO EVENT SHALL PROPULSE’S TOTAL LIABILITY FOR ALL CLAIMS ARISING OUT OF OR RELATING TO THESE TERMS OR THE SERVICES EXCEED THE GREATER OF (A) THE AMOUNTS PAID BY YOU TO PROPULSE IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM, OR (B) INR 10,000.
12. Indemnification
You agree to defend, indemnify, and hold harmless Propulse, its officers, directors, employees, and agents, from and against any and all claims, damages, obligations, losses, liabilities, costs, or debt, and expenses (including but not limited to attorney's fees) arising out of (i) your use of and access to the Services; (ii) your violation of any term of these Terms; (iii) your violation of any third-party right, including without limitation any intellectual property, privacy, or proprietary right; or (iv) any claim that your User Data caused damage to a third party. This defense and indemnification obligation will survive these Terms and your use of the Services.
13. Termination
We may terminate or suspend your access to the Services immediately, without prior notice or liability, for any reason whatsoever, including without limitation if you breach these Terms. Provisions that by their nature should survive termination shall survive termination, including, without limitation, ownership provisions, warranty disclaimers, indemnity, and limitations of liability.
Upon termination, your right to use the Services will cease immediately. If you wish to terminate your account, you may simply discontinue using the Services and notify us at the contact address below.
14. Governing Law and Dispute Resolution
These Terms shall be governed and construed in accordance with the laws of India, without regard to its conflict of law provisions. Any dispute, controversy, or claim arising out of or relating to these Terms, or the breach, termination, or invalidity thereof, shall first be attempted to be resolved amicably by negotiation between the parties within thirty (30) days of a written notice of dispute. If not resolved, the dispute shall be finally resolved by binding arbitration in accordance with the Arbitration and Conciliation Act, 1996. The arbitration shall be conducted by a sole arbitrator mutually appointed by both parties, and the seat of arbitration shall be Hyderabad, Telangana. The language of arbitration shall be English. The arbitral award shall be final and binding on both parties.
Notwithstanding the foregoing, either party may seek injunctive or other equitable relief in a court of competent jurisdiction to protect its intellectual property rights or confidential information.
15. Changes to Terms
We reserve the right, at our sole discretion, to modify or replace these Terms at any time. If a revision is material, we will provide at least thirty (30) days’ notice prior to any new terms taking effect. What constitutes a material change will be determined at our sole discretion. By continuing to access or use our Services after those revisions become effective, you agree to be bound by the revised terms.
16. General Provisions
- Entire Agreement: These Terms, together with any Service Agreements and referenced policies, constitute the entire agreement between you and Propulse concerning the Services.
- Severability: If any provision of these Terms is held to be invalid or unenforceable, the remaining provisions shall remain in full force and effect.
- Waiver: No waiver of any term of these Terms shall be deemed a further or continuing waiver of such term or any other term, and Propulse’s failure to assert any right under these Terms shall not constitute a waiver of such right.
- Assignment: You may not assign or transfer these Terms or any rights or obligations hereunder without the prior written consent of Propulse. Propulse may assign these Terms without restriction.
- Force Majeure: Neither party shall be liable for any failure to perform its obligations under these Terms if such failure results from any cause beyond its reasonable control, including, without limitation, acts of God, war, terrorism, natural disasters, and governmental restrictions.
